Terms of Service

Please read these Terms of Service ("Terms") carefully before using SourcerOS ("the Service"), operated by SourcerOS Ltd ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

SourcerOS is a software-as-a-service (SaaS) platform designed for UK property deal sourcers. The Service provides tools for managing seller leads, deal pipelines, investor relationships, and automated follow-up communications.

2. Accounts and Eligibility

2.1 You must be at least 18 years old to use the Service.

2.2 You must provide accurate, complete, and current information when creating an account and keep this information updated.

2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.4 You must notify us immediately at support@sourceros.co.uk if you suspect any unauthorised use of your account.

2.5 We reserve the right to terminate accounts that violate these Terms or that have been inactive for more than 12 consecutive months with prior notice.

3. Subscriptions and Billing

3.1 Free Trial. We offer a 14-day free trial on the Growth plan. Your payment method will be charged at the end of the trial period unless you cancel before the trial expires.

3.2 Subscription Plans. We offer three subscription plans: Essential (£29/month), Growth (£59/month), and Pro (£99/month), as well as annual equivalents. Plan features are described at sourceros.io/pricing and may be updated from time to time with reasonable notice.

3.3 Billing. Subscriptions are billed monthly or annually in advance. All prices are in GBP and exclusive of VAT where applicable.

3.4 Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled. You authorise us to charge your payment method on file for each renewal period.

3.5 Cancellation. You may cancel your subscription at any time through Settings → Billing or by contacting support@sourceros.co.uk. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

3.6 Price Changes. We may change subscription prices with at least 30 days' notice communicated to your account email address. Continued use of the Service after the price change constitutes acceptance of the new price.

3.7 Failed Payments. If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be restricted to read-only access until payment is resolved.

4. Acceptable Use

4.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.2 You must not use the Service to:

Violate any applicable UK or international law or regulation
Send unsolicited communications (spam) to individuals who have not consented to receive them
Store or transmit data relating to individuals without appropriate legal basis under UK GDPR
Harass, threaten, or harm any individual
Impersonate any person or entity
Attempt to gain unauthorised access to any part of the Service or its related systems
Use the Service to conduct or facilitate fraudulent property transactions
Reverse engineer, decompile, or disassemble any part of the Service

4.3 You are solely responsible for all data you input into the Service, including seller and investor information. You warrant that you have the legal right to collect, store, and process this data.

5. Data and Privacy

5.1 Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

5.2 You acknowledge that in using the Service to store personal data about third parties (including seller leads, investors, and co-sourcers), you act as a data controller under UK GDPR and are responsible for ensuring you have a lawful basis for processing that data.

5.3 We act as a data processor on your behalf for the personal data of your contacts stored in the Service.

5.4 You are responsible for obtaining any necessary consents from individuals whose data you store in SourcerOS, including consent to receive automated follow-up emails sent via the Service.

6. Intellectual Property

6.1 The Service, including its software, design, graphics, and content, is owned by SourcerOS Ltd and protected by UK and international intellectual property laws.

6.2 We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription.

6.3 You retain all ownership rights to the data you input into the Service. By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service.

7. Third-Party Services

7.1 The Service integrates with third-party services including Stripe (payments), Resend (email delivery), Supabase (data storage), and Meta (lead capture). Your use of these integrations is subject to the respective third-party terms of service.

7.2 We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Disclaimers and Limitation of Liability

8.1 The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

8.2 We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

8.3 SourcerOS does not provide legal, financial, tax, or property investment advice. Any information provided through the Service is for operational management purposes only and should not be relied upon as professional advice.

8.4 To the maximum extent permitted by applicable law, SourcerOS Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business arising from your use of the Service.

8.5 Our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid to us in the three months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless SourcerOS Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

10.1 We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

10.2 Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted unless you request an earlier deletion.

10.3 You may export your data at any time through the Service before termination.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email to your account address at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
